Partner terms

These terms cover Squatly Partners, the partner program for Squatly. Squatly is operated by Osgiliath Labs, LLC. When you join the program, these terms are the agreement between you and us.

They are written in plain language on purpose. If a line is not clear, write to partners@squatly.app and we will explain it.

1. Who can join

Squatly Partners has two tracks. Code Partner is open. Coach Partner is by invitation, and the first cohort is ten partners; any partner who reaches one hundred paid referrals is offered it.

Code Partner

There is no follower floor. We look for strength-training content, meaning barbell work, hypertrophy, powerlifting, or general strength. We look for an engaged audience and a voice that fits quiet power.

As a soft guide, that usually means one of these:

  • 2,500 or more engaged followers on one platform
  • A coaching business with clients
  • A newsletter or a podcast

Gyms and in-person trainers qualify with no followers at all.

Coach Partner

By invitation, or earned. We look for a method your audience already follows, around ten thousand followers or a book of clients, and a willingness to sit for the Coach Brief. The first cohort is ten partners. Any partner who reaches one hundred paid referrals is offered the track.

Who is not a fit

  • Supplement accounts and discount-code accounts
  • Coupon and deal sites
  • General fitness lifestyle accounts with no training content
  • Audiences outside the United States at launch

We read every application, and we may decline one that does not fit.

Every active partner gets complimentary Squatly Pro. It runs while your partnership is active.

2. Your code and what it does

A code is a coach. Every partner code introduces a coach, and that coach is the first thing your audience meets.

Where the code goes

After they sign in, your audience taps Referral Code and types your code by hand. Nothing is applied automatically from a link today. Redemption commits once, at the end of onboarding.

Codes work on iOS today. Android follows.

What the code does

Your code gives your audience partner pricing and a longer free trial. The figures are in your partner handbook, not on this site.

The code's coach is revealed when the code validates, and becomes that user's coach. They can still switch coaches in Settings.

Limits on a code

  • One code per user, forever. A second code is refused.
  • Someone who already has Squatly Pro cannot redeem a code.
  • There is no ceiling on how many people redeem your code.
  • We may set an expiry on a code, or switch a code off. We will tell you first, unless we are acting on a breach of section 5.

No cookie, no click window

Attribution is the code your audience types. There is no cookie and no click window, so nothing is lost to a browser and nothing expires a few days after a click. If they type your code, the credit is yours.

3. Commissions

Code Partners earn 25%. Coach Partners earn 35%, whether invited or earned. A Code Partner who reaches one hundred paid referrals is offered Coach status and earns 35% on every payment from that day on. A paid referral is one referred person whose first payment has cleared the thirty-day hold without a refund; a lifetime purchase counts. The step does not apply to payments already made.

The percentage is of net revenue, which is what is left of a payment after the app store commission and tax. You earn on the first payment and on every renewal, for the life of the subscription.

Hold and approval

Each commission is held for 30 days after the payment before it is approved. The hold covers the refund window.

Payout

  • We pay monthly, in the first week of the month, for commissions approved by then.
  • Payout runs when your approved commissions clear a twenty-five dollar minimum balance. Anything under it rolls over to the next month.
  • We pay through Mercury, our bank: ACH to a US bank account, a US dollar wire to an account outside the US.

What pays nothing

  • A payment that is refunded or charged back pays no commission.
  • Your own subscription is not a referral. A code redeemed on your own account pays nothing.

Your monthly statement

There is no partner portal yet. Each month we email you a statement: redemptions, active subscribers, and commission earned, approved, paid, and your balance. Reply to it with a question and you get an answer the same week.

4. Taxes

Commission is paid to you as an independent contractor. Your taxes are yours to handle.

Before your first payout, your tax form goes on file with Mercury through the recipient invite we send: a W-9 if you are in the United States, a W-8BEN if you are not. We cannot pay you until it is there. Never email us a tax form.

Mercury issues a 1099-NEC when what we pay you in a year reaches the federal reporting threshold.

5. How you may promote

These rules protect your audience and the brand. Breaking one is grounds for a pause under section 8.

Disclose the relationship

Say plainly that you earn from the code, wherever you share it. "#ad", "partner", or "I earn from this code" all work. Put it where it is seen, not buried at the end. This is the Federal Trade Commission's rule as well as ours.

Say coach

Squatly has a coach. Call it a coach. Do not describe the product in machine terms. It reads a lifter's training and tells them what to do next, and that is the claim to make. We supply the words, and your content kit carries lines you can use as they are.

Where you may not promote

  • No paid search or social ads on Squatly brand terms.
  • No coupon sites and no deal sites.
  • No incentivised sign-ups. Do not offer anything of your own in return for a redemption.

Claims

  • No medical claims and no injury claims.
  • No invented results. Talk about your own training and your own numbers.
  • Never quote a price other than the one the app shows.

Your codes

One code per partner by default. If you are running a campaign and want a second code for it, ask and we will mint one.

6. The coach track and licence

The Coach Partner track is by invitation or earned at one hundred paid referrals, and the first cohort is ten partners.

What we build

We build a named coach: your avatar, your voice, and your programs. It ships in an app release. You never have to create a coach yourself.

Your code works from day one with a default coach while your coach is built, so nothing waits on the release.

What you grant us

You grant us a licence to use your name, your likeness, and a description of your voice inside the app and in marketing for the program. The licence runs while the partnership is active.

If the partnership ends

We retire your coach at the next app release. Users who had your coach are moved to a default coach.

7. Program materials and intellectual property

What you supply

Programs, templates, and methodology you supply stay yours. You grant us a licence to run them inside the app while the partnership is active. When it ends, the licence ends and the material comes out of the app at the next release.

What we supply

The Squatly name, the logo, the brand assets, and the content kit stay ours. You have a licence to use them to promote the program while the partnership is active, and for nothing else.

Marks

Neither of us may register the other's trademarks, or anything close enough to be confused with them.

8. Ending the partnership

Either side can end the partnership with 14 days' notice, by email. Ours goes to the address on your partner record. Yours goes to partners@squatly.app.

Commissions you have earned and we have approved are still paid, on the normal monthly schedule.

We may pause a partnership immediately for a breach of section 5, and end it if the breach is not put right. A pause switches your code off while it lasts.

We may also pause or end the program itself, with notice. Earned, approved commissions are still paid.

9. Changes to the program

We give 30 days' notice before we change commission rates or payout terms. Notice goes to the email address on your partner record.

The rate in force when a payment is taken is the rate that applies to that payment. A change never reaches back.

10. Governing law

These terms are governed by the laws of the State of [STATE], without regard to its conflict of law rules.

11. Contact

Write to partners@squatly.app. Applications, questions, payout questions, and statements all go to the same place, and a person reads it. Bank details and tax forms go into Mercury, never by email.
